Panelist Biographies:

Morgan Chu

Mr. Chu is a partner of Irell & Manella LLP. He was named “The Outstanding Intellectual Property Lawyer in the United States” in the first Chambers Award for Excellence , 2006. Chambers has described Mr. Chu as “beyond doubt the most gifted trial lawyer in the USA,” who “delivers staggering results for clients.” He has been named one of the “Top 10 Trial Lawyers” and “100 Most Influential Lawyers” in the United States by the National Law Journal .

Some of Mr. Chu's cases are:

  • City of Hope v. Genentech – The largest judgment ever affirmed on appeal by California courts after the jury verdict; with more than $500 million paid to the plaintiff.
  • TiVo v. EchoStar – Over $400 million ordered to be paid by the defendant after the jury verdict and post trial proceedings.
  • Immersion v. Sony – Over $150 million paid by defendant after the jury verdict.
  • Stac Electronics v. Microsoft – $120 million jury verdict.
  • Texas Instruments v. Samsung – Over $1 billion settlement.

Mr. Chu was Co-Managing Partner of Irell & Manella for two terms from 1997 to 2003. He joined the firm as an associate in 1977 and became a partner in 1982. Mr. Chu received a J.D. from Harvard Law School, magna cum laude, a M.S.L. from Yale University, and an A.B., M.A., and Ph.D. from the University of California, Los Angeles. Mr. Chu has also received an Honorary Doctorate from the City of Hope Graduate School of Biological Sciences. He is also a member of the Harvard Board of Overseers.

Michael Woronoff

Mr. Woronoff heads Proskauer Rose's corporate and securities practice in Los Angeles. His practice focuses on private equity, mergers and acquisitions, capital markets, restructurings, and various other corporate and securities law matters. Prior to joining Proskauer, Mr. Woronoff was a principal of Shelter Capital Partners, a Southern California-based private equity fund. Prior to co-founding Shelter, he was a partner with Skadden, Arps, Slate, Meagher and Flom LLP, where he practiced for 15 years.

Of the more than 2,000 lawyers ranked by Chambers USA this year, Mr. Woronoff was acknowledged as a leader in five separate categories -- more than any other corporate lawyer in the United States. He has also been r ecognized as a leading lawyer by US Legal 500 , PLC Which Lawyer? , and Southern California Super Lawyer s for each of the past five years. He was recently selected by Lawdragon 500 as one of the 500 Leading Dealmakers in America and one of the 500 Leading Lawyers in America, and by the Los Angeles Business Journal as one of the top 100 lawyers (and one of the top 9 corporate lawyers) in Los Angeles.

Mr. Woronoff is a frequent author and lecturer on a variety of corporate and securities law topics and has authored or co-authored: What Law Schools Should Teach Future Transactional Lawyers: Perspectives from Practice (UCLA School of Law, Law-Econ Research Paper No. 09-17); Using a Venture Capital Class to Teach Transactional Skills (Tennessee J. of Bus. Law (2009)); Random Thoughts on Private Equity Practice (in Deal Strategies for Venture Capital and Private Equity Lawyers); Effective vs. Nominal Valuations in Venture Capital Investing (NYU J. of L. & Bus. (2005)); Understanding Anti-dilution Provisions in Convertible Securities (Fordham L. Rev. (2005)); and Confidentiality (in Negotiating and Drafting Contract Boilerplate).

Mr. Woronoff is an Adjunct Professor at U.C.L.A. School of Law where he developed and teaches “Venture Capital and the Start-up Company.” He received a J.D. from the University of Michigan, cum laude , a M.S.I.A. from Purdue University's Krannert Graduate School of Management, and a B.S.I.M. from Purdue University with Highest Honors.

Vivian Yang

Ms. Yang joined Citysearch as its Vice President and General Counsel in 2009 with 15 years of experience in advising Internet, new media, technology, and entertainment-related businesses.  Her experience includes serving as Senior Vice President, Business Affairs, Finance and Operations of Time Warner's Global Media Group; Vice President & General Counsel of eCompanies Wireless; and Senior Counsel at Sony Pictures Entertainment. 

Ms. Yang began her legal career as a corporate associate with Latham & Watkins in Los Angeles, and later at Blanc Williams Johnston & Kronstadt (since merged with Arnold & Porter), where her practice focused on new media and technology transactions.  She received her B.S. from The Pennsylvania State University and her J.D. from Georgetown University Law Center. 

Elizabeth Moeller (Moderator)

Ms. Moeller is the Assistant Dean of Career Services at UCLA School of Law.  As such, Ms. Moeller is responsible for the overall administration of the office; counseling students and alumni; maintaining and establishing relationships with legal employers; acting as a liaison between students, alumni and employers; and facilitating relationships between the faculty and administration and the Office of Career Services.  Prior to joining the UCLA Law Career Services Office in November 1996, Ms. Moeller practiced law for more than five years at the Los Angeles offices of Graham & James and Pepper Hamilton & Scheetz.  Ms. Moeller holds a B.A. from the University of Michigan and a J.D. from Loyola Law School.

In addition, Ms. Moeller was recently elected to serve as a 2009-2011 Director on the Board of the National Association for Law Placement (NALP), an international nonprofit association dedicated to facilitating legal career counseling and planning, recruitment and retention and the professional development of law students and lawyers.  The membership of NALP includes virtually every ABA-accredited law school and more than 800 of the largest law firms and legal employers. Within those organizations, NALP's member representatives head law school career development offices and law firm recruiting and professional development departments.
